Terms of Service

These Terms of Service form a binding agreement between you and Zaffa. By creating an account, browsing zaffa.ai, or using any feature of the platform, you accept these Terms. If you don't agree, please don't use the service. Capitalised terms not defined here have the meaning given in our Privacy Policy.
Definitions
"Zaffa", "we", "us" means the operator of the zaffa.ai platform. "Service" means the website, mobile experience, AI tools, marketplace, and APIs we provide. "Client" means a user planning an event. "Planner" means a professional offering planning services. "Vendor" means a professional offering individual services (catering, photography, flowers, etc.). "Professional" means a Planner or Vendor.
Accounts and eligibility
You must be 18 or older and able to enter into a binding contract under the laws of your country to use Zaffa. You agree to provide accurate information, keep it up to date, choose a strong password, enable two-factor authentication where offered, and accept responsibility for any activity under your account. You may not share your account or use someone else's. We may require additional identity or business verification before you can publish a profile or receive payouts.
How the marketplace works
Zaffa is a platform that connects Clients with independent Planners and Vendors. Professionals are independent contractors, not employees, agents, or franchisees of Zaffa. We do our best to verify professionals — including reviewing their portfolio, contact details, and (where required) commercial registration — but verification is not a guarantee of quality, fitness for purpose, or legal compliance. You remain responsible for evaluating any party you engage and for the contracts you enter into with them.
Obligations of professionals
If you offer services on Zaffa, you agree that the information on your profile (services, prices, availability, portfolio, reviews) is accurate and your own work or properly licensed; that you hold any licences, permits, and insurance required to do business in your jurisdiction; that you respond to client briefs and messages within a reasonable time and honour the proposals you accept; that you collect and remit any taxes due on your earnings; and that you do not solicit clients to transact off-platform to avoid platform fees during the engagement period.
Payments and platform fees
Clients pay through Stripe Checkout. Zaffa is the merchant of record on platform transactions and charges a platform fee disclosed before payment. Net amounts (gross minus platform fee minus payment processing fees) are recorded against the professional's balance and paid out on a manual schedule, typically every 7 days, subject to identity verification, dispute holds, and minimum payout thresholds. Stripe's terms apply in addition to these Terms for any payment processed through it. Currency conversion, where applicable, is performed at the rate Stripe applies on the day of the transaction.
Cancellations and refunds
Cancellation and refund eligibility depend on the agreement between Client and Professional and on the cancellation policy displayed before payment. Zaffa will issue refunds on the original payment method when (a) both parties agree, (b) a dispute resolution finds in favour of a refund, or (c) refund is required by law. Refund requests outside the agreed cancellation window are not guaranteed. Platform fees may be retained on partial refunds at our discretion. Where a refund relates to fraud or chargeback, Stripe's processes apply.
Disputes
If a Client and Professional disagree about delivery or quality, please try to resolve it directly through the platform messaging first. If you cannot, either party may escalate to support@zaffa.ai with evidence; Zaffa will mediate in good faith but is not obligated to act as an arbitrator. Where a Stripe payment dispute (chargeback) is opened, related funds are held until the dispute resolves and the issuing bank's decision is final.
Your content
You retain ownership of the content you upload — event details, photos, videos, messages, designs. You grant Zaffa a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify, and display that content solely as needed to operate, secure, and promote the Service (e.g. AI rendering, search indexing, email previews, marketing of aggregated case studies with your prior consent). This licence ends when you delete the content or your account, except for backup copies retained for the period stated in the Privacy Policy and for content already used in published case studies.
AI-generated outputs
Designs, mood boards, and other content generated by Zaffa's AI features are produced from the prompts and references you supply. Subject to the AI provider's terms, you may use the outputs for your own event. Zaffa makes no warranty that an AI output is original, copyright-clear, or fit for any particular purpose; you are responsible for clearing rights in any third-party imagery you upload as a reference and for reviewing outputs before using them publicly. We may use anonymised, aggregated outputs to improve the product.
Acceptable use
You agree not to: post unlawful, fraudulent, defamatory, harassing, hateful, or sexually explicit content; misrepresent yourself or your business; scrape the platform or interfere with its operation; bypass rate limits, fees, or access controls; reverse engineer or attempt to derive source code; use the AI features to generate content that depicts real people without their consent or that infringes intellectual property; or use Zaffa to send spam or unsolicited marketing.
Suspension and termination
You may close your account at any time from Settings, subject to a 14-day grace period during which the closure can be reversed. We may suspend or terminate any account at any time, with or without notice, if it violates these Terms, exposes us or other users to legal or financial risk, or remains inactive for an extended period. On termination, sections of these Terms that by their nature should survive (e.g. payments owed, content licence, liability) will continue in force.
Third-party services
Some features depend on third parties (Stripe, Cloudinary, OpenAI, Resend, Vercel, etc.). Their terms and privacy policies govern your use of those services through Zaffa. We are not responsible for their availability or actions.
No warranty
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or that any AI output will meet your expectations.
Limitation of liability
To the maximum extent permitted by law, Zaffa is not liable for the acts or omissions of Planners, Vendors, or other users; for indirect, incidental, special, consequential, or exemplary damages (including lost profits, lost data, or loss of goodwill); or for the cost of substitute services. Our aggregate liability for any claim is limited to the platform fees you paid us in the 12 months immediately before the event giving rise to the claim, or 1,000 EGP, whichever is greater. Nothing in these Terms limits liability that cannot be limited by law.
Indemnity
You agree to defend and indemnify Zaffa, its officers, directors, employees, and agents against any claim, demand, or proceeding arising out of your use of the Service, your content, your dealings with another user, or your violation of these Terms or any law.
Changes to these Terms
We may update these Terms from time to time. Material changes will be notified at least 14 days before they take effect, by email or in-app banner. Continued use of the Service after the effective date means you accept the updated Terms. If you do not accept them, you should stop using the Service before that date.
Governing law and jurisdiction
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules. The competent courts of Cairo have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings there.
Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them to a successor in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any feature-specific terms, are the entire agreement between you and Zaffa about the Service.
